Terms & Conditions

Definitions

"Agreement" means the contract you have entered into by purchasing the services to which these terms and conditions apply.

".Course" means the Training course services which are provided to you by The Digital Co Ltd.

".Co-Create" means the In-House Training Services which are provided to you by The Digital Co Ltd.

"TDCo Membership" means the resources, materials, access to Performance tool, skills test and support offered to you as part of your membership.

"Website" means the-digital.co or any other website The Digital Co may own.

"Visitors"/"Customers" means the person/company who has purchased any of the above the services.

"individual visitor/individual customer" means the individual person attending on behalf of a company who has purchased any of the above the services.


.Courses

Costs / Prices
Prices are as on the website and will remain for 30 days after publication, and The Digital Co Ltd reserves the right to change prices as and when required. All prices will have a 20% VAT charge added.

Payment
As part of .Courses, customers must purchase a place on the training course, through the website purchasing system online via PayPal, credit or debit cards. Only then will they be eligible to attend the chosen course. All payments will be recorded by The Digital Co Ltd and customers will receive an electronic receipt, confirming purchase and amount. The Digital Co Ltd reserves the right not to confirm a booking unless payment is made prior to the training course date.

On occasion, special offers may be available via website or partnerships. These offers are not available to customers who have already booked or attended a training course.

Any Discount Codes offered may only be redeemed once, and do not work in conjunction with any other special offer on the site.

Re-Imbursement or Cancellation
The Digital Co reserve the right to cancel or reschedule any training course. The Digital Co Ltd will give 5 working days' notice of the cancellation.

Any customer who has already purchased a place on the training course will receive a full refund of the cost of the course, or offered an alternative date. The Digital Co Ltd is not liable for any costs incurred out with training course fees.

If a customer cannot attend, they are entitled up to 50% re-imbursement. A re-imbursement will only be valid if the customer gives 10 working days' notice that they cannot attend. If a customer cancels within 9 working days or less the course, The Digital Co Ltd reserve the right to offer 0% refund.

If a customer does not attend without any notice, there will be no refund.

If a customer cannot attend, but would like to substitute a delegate in their place, written permission must be submitted within 3 working days of the course, along with Full name, company, email address and job title of replacement customer.

Multiple Customers from 1 party
If you have more than one individual customer attending with one party, then each individual customer will be required to pay for a place on a course.

There may be multiple customer discounts available, in this event, each individual customer will receive the discounted price available.

Training Aftercare
As part of the .Courses Service, The Digital Co Ltd offer aftercare and access to the trainer who conducted the course. Customers can contact the trainer via email, phone or social media. The dedicated time from a trainer on each customer, after the course is a maximum of 15 minutes. The Digital Co Ltd trainer reserves the right to stop all communication after this consultancy limit is reached.

.Co-Create

Payment
.Co-Create is a consultative product, based on customers individual requirements, therefore each cost will differ based on length of training, number of individual customers and document output required.

Once course content is agreed by the customer and The Digital Co Ltd, the customer will receive an electronic invoice and is expected to pay amount in full within 30 days of receiving invoice. Payment can be made by cheque or BACS (details to appear on the invoice). All payments will be recorded by The Digital Co Ltd and customers will receive an electronic receipt, confirming purchase and amount.

If a customer looks to add individual customers to the course, this will alter the price and will be recalculated at the same rate. An additional invoice will be submitted with the difference where same T&Cs apply.

Membership

Payment
To register for TDCo Membership, customers must purchase through the website purchasing system online via paypal, credit or debit cards. Only then will they be eligible to access all Membership content and property. All payments will be recorded by The Digital Co Ltd and customers will receive an electronic receipt, confirming purchase and amount. On occasion, special offers may be available via website or partnerships. These offers are not available to customers who have already registered for TDCo Membership.

Any Discount Codes offered may only be redeemed once, and do not work in conjunction with any other special offer on the site.

Payment of TDCo Membership includes 1 year (365 days) access to membership area of website. This also includes 2 reports via the performance review tool.

Customer Account
The Digital Co Ltd reserves the right to restrict access to the website or to parts of it to registered users.

All TDCo information assigned to an individual customer must be treated as confidential; this includes Usernames and passwords. The customer is liable for any unauthorised use of their username or password.

If a customer does not adhere to the terms and conditions of the agreement, The Digital Co Ltd reserve the right to terminate access to TDCo Membership.

Intellectual property
The Digital Co Ltd own or license all intellectual property rights to the website. All content on the site including text, information, imagery, videos, software, resources, tools, or any other documentation on the site is protected by copyright, trade mark and intellectual property laws.

The customer can use the resources available from TDCo Membership within their organisation, but cannot repurpose the content as a business output through website, social media or other online means.

The customer cannot modify any paper or digital versions of any resources printed off or downloaded from the website. The customer must not use any information, imagery, videos, software, resources, tools, or any other documentation on the site independently from any accompanying text.

The customer may not use any of The Digital Co Ltd's intellectual property without The Digital Co Ltd's written consent. The customer is permitted to print or save the resources to an individual PC, tablet or storage tool from this Website for the customers personal, non-commercial use. This does not include downloading, storing, transmitting, displaying, copying or distributing any materials on the website, or extracts from it, in a structured manner or creating a database in any form comprising all or part of any material on the website.

General

Code of conduct
The customer shall use the services strictly in accordance with these terms and conditions and shall not misuse the services. The customer shall comply with all reasonable instructions or directions given by The Digital Co Ltd in respect of the services.

In accessing the services, the customer agrees not to: reproduce or redistribute the content (other than as allowed under these terms and conditions), modify or in any way commercially exploit any of the content; remove the copyright or trademark notice(s) from any copies of the training course content; create a database by systematically downloading and storing all and any of the content; make any commercial or business use of the services or resell or commercially benefit from any part or aspect of the services

Venue
The Digital Co Ltd use 3rd party venues for all training courses and events. By entering an agreement with The Digital Co Ltd, customers must adhere to the Venue rules, regulations and standards. The Digital Co Ltd is not liable for any damages, injuries or business losses the customer inflicts on the venue.

Limitation of Liability
The content on The Digital Co Ltd website is provided for general information only. It is not intended to amount to advice on which visitors should rely. Visitors must obtain professional or specialist advice before taking, or refraining from taking, any action on the basis of the content on the website. Although there are reasonable efforts made to update the information and content on the website, The Digital Co Ltd make no representations, warranties or guarantees, whether express or implied, that the information and content on the website is accurate, complete or up-to-date at any time.

The Digital Co Ltd will only be liable for losses which are foreseeable to both the customer and to The Digital Co Ltd as a consequence of The Digital Co Ltd breaching these terms of sale and caused by The Digital Co Ltd's own negligence. The Digital Co Ltd will not be responsible for any commercial or business losses (including without limit loss of goodwill, profits, contracts, anticipated savings, data, or wasted expenditure) or any other indirect or consequential loss that was not reasonably foreseeable to both the customer and The Digital Co Ltd at the time The Digital Co Ltd's agreement was formed, or at the time the customer began using The Digital Co Ltd's service. The Digital Co Ltd exclude, to the extent permitted by law, any express or implied warranties and conditions. Nothing in the foregoing shall limit The Digital Co Ltd's liability for death or personal injury or as otherwise required by law.

Indemnity
The Customer agrees to indemnify (and to hold The Digital Co Ltd and any of The Digital Co Ltd's officers, employees and agents) from and against all and any expenses, losses, liabilities, damages, costs or expenses incurred or suffered and any claims or legal proceedings which are brought or threatened, in each case arising from the customers use of the services and/or the customers breach of these terms and conditions.

Updates
The Digital Co Ltd reserve the right to amend, substitute, modify and improve the content and format of any service (in whole or part) or to substitute and modify the service required from time to time to form a Course in the light of The Digital Co Ltd's industry experience or ongoing improvements in its service to the customer.

Complaints
Any complaints and claims relating to The Digital Co Ltd's Services must be received in writing to hello@the-digital.co. If there are any complaints around the .Courses or .Co-Create, please write to the same address within 14 days of the course end date.
